Terms. short and clear.

The short version: we agree scope in writing, we do the work, you pay for it, either of us can leave with reasonable notice. Everything below is just the detail.

Draft notice: These terms are written for plain-English readability and are pending solicitor review before they take precedence over any signed Statement of Work. A signed SoW is the operative document for any engagement until this page is finalised.

01 · What we do

Unf-ck provides digital audit, rescue, rebuild, SEO, paid-ads and social services to UK SMEs. Specific deliverables for each engagement are set out in a written Statement of Work (SoW) agreed in advance.

02 · How engagements work

Every engagement starts with an audit (£250 initial or £1,000 full) or a fixed-fee SoW. The SoW is the operative document for what we deliver, when, and for how much. Anything not in the SoW isn't part of the engagement unless we both agree to add it in writing.

03 · Payment

  • Audits: paid on commission, before work begins.
  • Rescue / rebuild: payment schedule set in the SoW; typically 50% on commission, 50% on delivery, with phase payments for engagements over 4 weeks.
  • Care plans: monthly in advance, 30 days' notice to cancel.
  • All prices are exclusive of VAT. Invoices payable within 14 days.

04 · Intellectual property

You own what we build for you. On full payment, all IP rights in the deliverables transfer to your company, code, design files, content, configuration. Exceptions: third-party tools, open-source libraries and generic patterns that we use across engagements. Those stay with their respective owners / with us.

05 · Cancellation and termination

Either of us can terminate a fixed-fee engagement in writing. You pay for work completed up to the termination date. There is no minimum engagement period for any service. Care plans run rolling monthly with 30 days' notice, no 12-month minimum, no auto-renewal trap.

06 · Liability

Our total liability under any engagement is capped at the fees paid to us in the previous 12 months. We're not liable for indirect or consequential loss (lost revenue, reputational harm, etc.) except where legally unavoidable. You maintain your own insurance for the risks that extend beyond that cap.

07 · Confidentiality

Everything you share with us during an engagement is confidential. We don't share your data, your metrics, or your site details with third parties without your written consent. Case studies, testimonials and social references require explicit opt-in.

08 · Subcontractors and specialists

Core delivery is always by Unf-ck senior team, accelerated by AI. Where a specific finding is outside our confidence, we may bring in a trusted, vetted specialist, with your agreement, and with full transparency about who is doing what. We do not use hidden subcontracting.

09 · Changes

Scope changes during an engagement are agreed in writing (usually an SoW addendum) before they're billed. You're never billed for scope creep you didn't approve.

10 · Governing law

These terms and any engagement under them are governed by the laws of England and Wales. Any dispute will be resolved in the English courts.
